Eventbrite to be acquired by Bending Spoons in $500m deal

Event tech platform Eventbrite has announced it has entered into a definitive agreement to be acquired by Milan-based tech company Bending Spoons. The transaction is valued at approximately €430m ($500m) and is subject to regulatory approvals and approval by Eventbrite’s stockholders.

The acquisition adds to Bending Spoons’ expanding portfolio, which includes Evernote, WeTransfer, Vimeo and Meetup.

Under the terms of the agreement, Eventbrite stockholders will receive $4.50 in cash for each share of Eventbrite capital stock that they own. Eventbrite will become a privately held company.

Allen & Company LLC is acting as financial advisor to Eventbrite. Simpson Thacher & Bartlett, LLP is serving as legal advisor and J.P. Morgan is acting as sole financial advisor to Bending Spoons.

Eventbrite serves event creators and event-goers in nearly 180 countries and was founded by Julia Hartz, Kevin Hartz, and Renaud Visage. In 2024 it distributed over 83 million paid tickets to over 4.7 million events.

In 2025, Bending Spoons (founded in 2013)  raised $500m to accelerate its acquisition strategy and completed completed one of the year’s largest European tech transactions with the acquisition of Vimeo for €1.1bn.
